Mission description
Manage the risk of all AGL & associated companies in the countries as allocated to you within the Southern Africa Region (SAREG) through effective support to the relevant Country Managers and/or Country Legal Managers concerning contract negotiations with customers, suppliers & service providers, agents and other 3rd parties (“contracts”); claims management (litigation & non-litigation) and mitigation of risks through appropriate insurance cover where possible.
Ensure implementation of and compliance with all Compliance policies and procedures of the AGL Group by all AGL and associated companies in SAREG.Job Function:
• Oversee all legal aspects in the countries as allocated to you within SAREG.
• The position will involve traveling to certain counties in SAREG.
• Act as a relay of the Legal and Insurance departments of Africa Global Logistics South Africa division situated in Paris,
France.
• In charge of all legal matters in the countries as allocated to you within SAREG, including (but not restricted to): Contracts
• Provide regular internal training concerning contractual issues / clauses in standard trading terms and bespoke contracts.
• Provide support to ensure risk mitigation of all contracts of AGL and associated companies to the fullest extent possible, through effective negotiation and adequate insurance of all insurable risks, as applicable, including but not limited to:
• Contract drafting, negotiation and review (customers, suppliers & service providers, agents, 3rd parties – incl. commercial and residential lease agreements and land/asset sale & purchase agreements);
• Tender reviews.
Highlight all important risks to the respective Country Managers and/or Country Legal Managers (and any
other relevant parties) so as to make an informed decision concerning contractual risks, key provisions and contract durations through proper documented sign-off by relevant parties. Claims (Litigation & Non-Litigation)
• Manage and support the respective Country Managers and/or Country Legal Managers on all claims,
disputes and litigation: customers, agents, suppliers & service providers, other 3rd parties and insurance claims.
• Provide guidance, consider alternate approaches, etc.
• Provide adequate support in liaison with external legal counsel for litigation regarding employment
concerns. • Ensure all claims of the AGL & associated companies are properly and timely reported, managed and
closed out.
• Ensure proper preparation of claims and witnesses (where applicable) and closely monitoring the claims
until closure. • Ensure proper, comprehensive and continuous reporting of all fraud (irrespective of value), major litigation
and high risk matters to the respective Regional Managing Directors and Regional General Counsel (SAREG).
Profile
Review (at least annually), in conjunction with the respective Country Managers and/or Country Legal Managers, the various external legal counsels against agreed service levels and assist to negotiate the best rate structures for the ensuing year. Insurance
• Ensure all local insurance covers are renewed annually and on time; and remain up to date at all times.
• Ensure all risks are adequately covered, considering amongst other, the business requirements of the
AGL & associated companies, local country specific risks and requirements, etc.
•Ensure the respective Country Managers and/or Country Legal Managers are familiar with the global
insurance covers and the relevant policy terms, restrictions and specific requirements to ensure cover remains valid. Galexy
•Ensure all bespoke contracts (customers, suppliers & service providers, agents, 3rd parties – incl. commercial and residential lease agreements and land/asset sale & purchase agreements, etc.) for your allocated countries are recorded in Galexy and are always up to date with the latest changes recorded.
•Ensure all litigation matters for your allocated countries are recorded in Galexy and the files are at all times up to date with the latest legal developments.
•Provide training and support to all users of the Galexy system in English speaking countries in Africa.
•Assist and support the Regional General Counsel with all reporting requirements, monitoring and user allocation / licensing concerning the Galexy system. Reporting
• Timely and accurate monthly reporting on all legal matters (including but not limited to country risks, new legislation & the impact on the Company, litigation & non-litigation claims, legal contracts, etc.) in the prescribed format for all your allocated countries.
•Ad-hoc reporting as required from time-to-time.
General
•Provide legal opinions as and when required.
•Monitor changes in legislation and update all relevant management on any risks to AGL & associated
companies in your allocated countries within SAREG.
•Ensure all AGL companies in your allocated countries within SAREG at all times comply with relevant global
and local laws & regulations.
•Perform audits when visiting your allocated countries in SAREG to ensure compliance at all levels concerning
legal, insurance, claims (litigation & non-litigation), corporate secretarial matters and the Group's Compliance program.
Minimum Education and Experience Requirements:
•One of the following legal qualifications: B Proc, B Juris, B Com Law or LLB (preferably an LLB).
• 12 years' experience in the legal corporate environment.
•Experience of the Africa continent will be an advantage.
•Computer proficiency: Word, Excel & PowerPoint.
•Good attention to detail.
•Methodical and thorough approach to work.
• Organised.
• Good at juggling tasks and prioritising.
•A desire to show initiative.
