MISSIONS

La direction juridique de Africa Global Logistics recherche un/une stagiaire en droit des transports / droit maritime (niveau M2 ou LLM) pour un stage de 6 mois. 

Vous assisterez les membres de l'équipe sur leurs dossiers, notamment Portuaires, Ferroviaires et Maritimes, non seulement en droit public, mais également dans les autres matières de droit concernées (droit de la construction, droit bancaire, droit commercial, droit des sociétés, contentieux et arbitrage etc.) et aurez notamment pour missions : 

Assister les juristes dans la rédaction et la révision de contrats liés au droit des transports (contrat de manutention portuaire, contrat de transport routier, ferroviaire, maritime, contrat de commission de transport, etc.) et accords de partenariats commerciaux. Effectuer des recherches juridiques sur des questions relatives au droit des transports (maritime, ferroviaire, logistique internationale, etc.), aux régulations internationales et aux conventions maritimes. 

Contribuer à l'analyse des risques juridiques et des opportunités liées aux projets logistiques. 

Participer au suivi et à la gestion des contentieux et des litiges. 

Suivre les évolutions législatives et réglementaires relatives au droit des transports. 

Apporter un soutien administratif et juridique dans la gestion des dossiers du département.

Job Purpose:
The Regional Vertical Manager – Telecom &amp; Technology is responsible for driving the commercial development and growth of the Telecom &amp; Technology vertical across the assigned African region.

Telecom &amp; Technology Strategy
•	Develop and implement the Group's Telecom &amp; Technology commercial strategy across the assigned African region.
•	Establish a dedicated vertical approach and strengthen Telecom &amp; Technology coverage across countries.

Customer &amp; Industry Engagement
•	Build relationships with senior Supply Chain, Procurement, Logistics, Commercial and Operations decision-makers.

•	Represent AGL at relevant Telecom &amp; Technology industry events and forums.

Qualifications &amp; Experience
•	Relevant Bachelor's Degree in Business, Commerce, Logistics, Supply Chain Management, Telecommunications, Information Technology or a related field.
•	5–8 years' commercial experience within Telecom &amp; Technology logistics, preferably with a telecommunications company, logistics provider or freight forwarder.
•	Prior experience in Telecom supply chain and logistics will be highly advantageous.
•	Proven regional or multi-country commercial experience, preferably within Africa.
•	Strong understanding of multimodal freight forwarding and international logistics.
•	Experience in contract logistics, customs clearance, warehousing and distribution.
•	Strong experience in business development, strategic account management and commercial negotiations.

Job Purpose:
To drive business growth by identifying, developing, and securing Vendor Managed Inventory (VMI) opportunities within existing and prospective client portfolios. The incumbent will collaborate with internal stakeholders to design and implement trade finance and inventory management solutions that enhance clients' supply chain efficiency, optimize working capital, reduce risk, and support international trade activities.

Job Function: 
Business Development
•	Identify, pursue, and secure new Vendor Managed Inventory (VMI) business opportunities within existing client accounts and new market segments.
•	Build and maintain strong relationships with importers, exporters, and key stakeholders to understand their supply chain and financing requirements.
•	Develop and execute business development strategies to increase market share and revenue growth.
Client Solutions &amp; Relationship Management
•	Collaborate with the Corporate VMI team to develop tailored trade finance and inventory management solutions.
•	Present and communicate complex financial and supply chain solutions in a clear and client-focused manner.
•	Negotiate commercial agreements and successfully close new business opportunities.
Operational Coordination
•	Work closely with logistics operations, customs, compliance, and finance teams to ensure the successful implementation and execution of VMI solutions.
•	Facilitate seamless coordination between clients and internal departments to ensure service excellence.
Market Research &amp; Analysis
•	Conduct market research to identify emerging industry trends, competitive offerings, and opportunities within the trade finance and logistics sectors.

Risk Management &amp; Compliance
•	Monitor portfolio performance and manage risk exposure associated with VMI and trade finance solutions.

Reporting &amp; Performance Management

Minimum Education and Experience Requirements:

MISSION:

La Direction juridique d'Africa Global Logistics recherche un/une Juriste Senior PPP / Concessions / Project Finance pour renforcer ses équipes sur des projets d'infrastructure et de services, en particulier en Afrique.

Au sein de la Direction juridique, en interaction étroite avec les équipes Développement/Investissements, Finance/Trésorerie, Opérations et les équipes pays, vous interviendrez notamment dans le cadre de :

1) Développement / appels d'offres PPP – concessions:

- Analyse juridique des dossiers d'appel d'offres (projets de contrats, annexes techniques, exigences de performance, mécanismes tarifaires /availability, security package) ;
- Cartographie des risques et préparation des livrables de décision (notes de risques, matrices de conformité, stratégies de négociation)
- Négociation avec autorités concédantes et partenaires.


2) Contractualisation

- Rédaction et négociation de contrats de concession/PPP et documents connexes (avenants, protocoles, interfaces, foncier/autorisation selon projets) ;
- Rédaction et négociation des contrats de projets /exploitation (EPC/D&amp;B, O&amp;M, services, supply, direct agreements) ;
- Intervention directe sur la documentation de financement (term sheets, facility/common terms, sûretés, accounts, intercreditor le cas échéant) ;
- Suivi des conditions suspensives et coordination des closings, en lien avec les conseils.


3) Suivi de l'exécution des concessions

- Assurer le contrôle juridique et opérationnel de l'exécution des contrats de concession.
- Vérifier le respect des obligations contractuelles, techniques et financières du concessionnaire.
- Analyser les rapports d'activité, indicateurs de performance et proposer des mesures correctives.
- Préparer les avenants nécessaires et contribuer à la résolution des écarts ou litiges potentiels.
- Participer aux comités de suivi et garantir la traçabilité documentaire de l'exécution.&lt;br /&gt;&lt;br /&gt;
CAPA, complétée idéalement par une qualification en droit anglais (England &amp; Wales) ou une pratique confirmée du droit anglais appliquée aux transactions financement / infrastructures, avec une excellente maîtrise du drafting et de la négociation.

Formation supérieure en droit des affaires, droit public des affaires, contrats ou financement.

Expérience significative (≥5 ans) en PPP, concessions ou projets d'infrastructure, incluant une exposition réelle aux enjeux de bancabilité et à la documentation de financement (expérience en entreprise, fonds infra ou cabinet).

Intérêt marqué pour l'Afrique et les environnements multi‑juridictions : sens du terrain, approche pragmatique, bonne compréhension des risques pays (convertibilité/transfert, change in law, enforceability, gouvernance).

Anglais courant, y compris en rédaction juridique et en négociation.
